BNY Mellon to Sell its Shareowner Services Business to Computershare

Transaction reflects BNY Mellon's strategic focus on growing globally its investment management and investment services businesses

NEW YORK, April 27, 2011 — BNY Mellon, the global leader in investment management and investment services, announced today that it has signed a definitive agreement, subject to regulatory approvals, to sell its Shareowner Services business to Computershare. Computershare is a global provider of transfer agency, share registration, employee equity plans, proxy solicitation, stake holder communications, and other diversified financial and governance services.

The purchase price of $550 million being paid by Computershare will result in a modest after-tax loss due to the impact of non-deductible goodwill associated with the business. The transaction further enhances BNY Mellon's strong capital ratios, generating more than $200 million in additional capital.  The transaction is anticipated to close in the third quarter of 2011, subject to regulatory approval.
